Terms of Service

These Terms of Service govern your access to and use of the SignalWorks platform, including the PULSE Engine, SignalBrief reports, the SignalWorks portal, and all related services (collectively, the "Service") provided by SignalWorks Consulting LLC ("SignalWorks," "we," "us," or "our"). By accessing the Service or checking the acceptance box in your onboarding portal, you agree to be bound by these Terms on behalf of yourself and your organization.
1. The Diagnostic Program
1.1 What the Diagnostic Includes
- →Ingestion and processing of nurse call log data submitted by the Customer
- →SCIO scoring and subscore analysis for designated units
- →Weekly SignalBrief reports delivered via email
- →Access to the SignalWorks portal for the duration of the diagnostic
- →QR-based survey tools (SEI, PEI, FEI) for staff, patient, and family feedback
- →One calibration call with a SignalWorks advisor
1.2 Diagnostic Duration
The diagnostic period begins on the date your organization is accepted and your ingest address is issued, and continues for thirty (30) days unless extended in writing by SignalWorks. SignalWorks reserves the right to extend or shorten the diagnostic period at its discretion.
1.3 No Commitment
Participation in the diagnostic program does not obligate the Customer to purchase any paid subscription. Conversion to a paid plan requires a separate written agreement.
1.4 Founding Diagnostic Terms
Customers accepted during the founding diagnostic period may be offered preferential pricing upon conversion to a paid subscription. Any such offer will be made in writing and is subject to availability.
2. Data and Privacy
2.1 Data You Submit
You may submit nurse call system export files to SignalWorks via your designated ingest email address. By submitting data, you represent and warrant that:
- →You have the authority to share the data with SignalWorks
- →The data does not contain Protected Health Information (PHI) as defined under HIPAA
- →The data consists solely of operational metadata including room identifiers, timestamps, call types, and response durations
2.2 No PHI
SignalWorks is not a Covered Entity or Business Associate under HIPAA with respect to the data ingested through the Service. The Service is designed to process operational metadata only. You are responsible for ensuring that no PHI is included in any data submitted to SignalWorks. If you believe PHI may have been submitted, contact us immediately at info@signalworks-consulting.com.
2.3 How We Use Your Data
SignalWorks uses submitted data solely to provide the Service, including generating SCIO scores, producing SignalBrief reports, and displaying analytics in your portal. We do not sell your data to third parties. We do not use your data to train machine learning models without your explicit written consent.
2.4 Data Retention
During the diagnostic, your data is retained for the duration of the diagnostic period plus thirty (30) days. Upon request, SignalWorks will delete your organization's data within fifteen (15) business days. After the diagnostic ends without conversion to a paid plan, data will be deleted within sixty (60) days.
2.5 Survey Data
Survey responses submitted via QR code are stored anonymously. No personally identifiable information is collected from survey respondents. Open-text feedback fields are stored as submitted and are accessible only to authorized users of your organization's portal.
3. Acceptable Use
You agree not to:
- →Submit data containing PHI, PII, or any data you are not authorized to share
- →Attempt to reverse engineer, copy, or replicate the SCIO scoring methodology
- →Share your portal access credentials or ingest address with unauthorized parties
- →Use the Service for any unlawful purpose or in violation of any applicable regulation
- →Interfere with or disrupt the integrity or performance of the Service
4. Intellectual Property
4.1 SignalWorks IP
All rights, title, and interest in the Service, including the PULSE Engine, SCIO scoring methodology, SignalBrief format, portal, and all software, algorithms, and documentation, are and remain the exclusive property of SignalWorks Consulting LLC. Nothing in these Terms grants you any ownership interest in the Service.
4.2 Your Data
You retain all ownership of the data you submit to SignalWorks. By submitting data, you grant SignalWorks a limited, non-exclusive license to process and analyze the data solely for the purpose of providing the Service.
5. Disclaimers and Limitations
5.1 No Clinical Advice
The Service provides operational analytics only. SignalWorks does not provide medical advice, clinical recommendations, or patient care guidance. SCIO scores and SignalBrief reports are tools for operational awareness and do not replace clinical judgment, regulatory compliance programs, or accreditation requirements.
5.2 No Guarantee of Outcomes
SignalWorks does not guarantee any specific improvement in patient outcomes, staff performance, survey scores, or regulatory results as a result of using the Service.
5.3 Vendor Independence
SignalWorks is not affiliated with, endorsed by, or certified by any nurse call system manufacturer or RTLS vendor, including Rauland, Hillrom, Ascom, CenTrak, or Stanley Healthcare. Vendor names are referenced solely to indicate data format compatibility.
5.4 Service Availability
SignalWorks will make reasonable efforts to maintain Service availability but does not guarantee uninterrupted access. The Service is provided "as is" during the diagnostic period without any uptime warranty.
5.5 Limitation of Liability
To the maximum extent permitted by applicable law, SignalWorks' total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to SignalWorks in the three (3) months preceding the claim. SignalWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
7. Term and Termination
Either party may terminate the diagnostic at any time with written notice. Upon termination, your access to the Service will be revoked and your data will be handled per Section 2.4. SignalWorks reserves the right to suspend or terminate access immediately if you violate these Terms.
8. Governing Law
These Terms are governed by the laws of the State of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Virginia.
9. Changes to These Terms
SignalWorks may update these Terms from time to time. We will notify you of material changes via email or through your portal. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
